MARIETTA - Temperatures and tempers were hot Thursday morning at the 70th annual members meeting of the Cobb Electric Membership Corporation at its headquarters off Cobb Parkway.
A conflict of interest by Cobb EMC's President and CEO Dwight Brown and its board who also oversee nonprofit EMC's for profit subsidiary, Cobb Energy, were foremost on the minds of co-op members who voiced their frustration and asked board members to resign.
Cobb EMC has nearly 200,000 residential and commercial customers who own the electric cooperative. Of those, 818 registered co-op members attended the meeting, by EMC's count. That's compared to more than 600 members last year. Cobb EMC leaders refused to allow the Journal to videotape the meeting.
The relationship between Cobb EMC and Cobb Energy is at the heart of litigation brought by six plaintiffs, including former Cobb Commissioner Butch Thompson and Marietta businessman Bo Pounds, on Oct. 22 against Brown and the board. The lawsuit claims Energy was created in 1997 to profit them. The suit is presently before Cobb Superior Court Judge Stephen Schuster.
Schuster ruled on Aug. 25 that the election of board members be postponed by 45 to 60 days from Sept. 4, so members could have a better understanding of the companies' finances and more members could vote.
Craig Ormsby, of First Baptist Church of Woodstock, gave the invocation, asking God to give EMC's members and leaders wisdom.
"Thank you for the blessings you have bestowed on Cobb EMC," he prayed.
Fletcher Thompson, a Marietta resident who represented Georgia in Congress for three terms beginning in 1967, was first at the microphone during new business.
"When was it determined that EMC should not own all of Cobb Energy?" he asked the board. He made a motion that the action to increase the management fee that EMC pays Energy "be rescinded immediately."
A sea of arms adorned with green wristbands went up. Although the motion passed overwhelmingly (the wristbands identified members), there were angry shouts when Bob Silliman, the board's attorney, informed the members that the board of directors does not have to act.
"You may express the feelings of the membership in motions, but they are not binding on the board of directors," Silliman said.
Thompson later made a motion that no EMC officer or director, or their family members, could work for or have any financial interest in Cobb Energy and any who do must end the association within 20 days.
"We are being swindled," Thompson said.
That motion, too, drew cheers from the crowd and passed easily, although is not binding on the directors.
Several speakers lined up to express their appreciation for and esteem in the EMC, and a few voiced support for Brown and the board. A couple of others seemed to wear out their welcome making repeat appearances at the microphone.
Members offered motion after motion, asking the board to reassess the relationship with Energy and eliminate any conflict of interest; to hold all future member meetings on Saturdays, to enable more members to attend; and for more transparency in financial-data reporting. Nearly all of the requests demanding accountability from the board passed.
While the member-owners spoke, the nine of ten directors in attendance, plus various attorneys, sat calmly and quietly across the stage. As the meeting dragged into the afternoon, one EMC leader fetched bottles of water for those stuck on the stage.
Deborah Allen, who lives in northeast Cobb and has been an EMC member since 1980, praised the cooperative's work and employees.
But she was shouting when she told the directors: "There is no credibility left with this board of directors.
"I'm here because I don't trust you all anymore. We are not morons. You are stealing from EMC, and you will get caught." Energy, she said, may have begun with good intentions, but has "become a cash cow for you and your friends."
Cobb Energy lawyer Michael Weinstock of Atlanta accused the plaintiff's lawyers, Pitts Carr and David Cohen of Atlanta who were in attendance, of influencing the statements and actions of co-op members at the meeting.
"It appears that the plaintiffs and their attorneys have used this as a forum to espouse a postured position," Weinstock said.
"They treated this like a pep rally to make a misstatement to get people emotionally charged."
Cohen countered: "That is a completely false and untrue statement."
He said he and Carr attended because their clients, who are co-op members, asked them to, and they had a right to attend as their attorneys.
"They wanted us to see what was going on here, and my family is paying members and have been for 40 years," Cohen said.
Brown spoke to members for about 15 minutes at the end of the meeting. His remarks focused on company business. He avoided mention of the litigation and did not specifically address the concerns that were voiced.
To those opposed to a coal-fired power plant that Cobb EMC plans to build in partnership with nine other EMCs, Brown asked for a better solution.
"If you and your organization will bring to the table a source of electricity that is equal to or better than our proposed plan in all respects ... we will bring them in to the Cobb EMC board with the other nine members of Power4Georgians, LLC to accept your proposal," Brown said.
Cobb EMC is joining nine other Georgia EMCs to build the $2 billion plant near Sandersville in Washington County. The plant would be the first power generator owned by the 10 EMCs, which now purchase their energy from wholesalers, and would allow them to own and operate their own plant and sell energy to themselves.
Paul Weatherby, who was Cobb EMC's president from 1973 and 1993, introduced Brown at the meeting. He hired Brown decades ago to oversee operations and maintenance at the EMC.
"Brown is a visionary," Weatherby said.
And he had advice for the membership, the same suggestion he said he has made to Brown.
"Settle this (litigation) in mediation and get on with your business," Weatherby said.
Before the meeting, Elaine Fenster of east Cobb, an EMC member since 1986 said she came because "I'm expecting some fireworks and I enjoy fireworks."
"I was not disappointed," she said later.

Everyone that lives in Cobb County that has the ability to plug in a toaster needs to stop what they are doing and focus on throwing this bunch of crooks and swindlers out of the State. (I will bring the tar and feathers.)The Board of Directors including their President, David Brown, sat up on the stage yesterday,like they were like Kings on their thrones as the Peasants tolled and groveled at their feet. At a time we are all feeling the pain at the gas pump, food prices have gone up almost 30% from last year and as we prepare to heat our homes with Natural gas and Electricity, David Brown and his Minions on the board, have given "themselves" 7 figure salaries with benefits (Yes, folks that's in the Millions). And made it all but impossible to remove them from the board without their approval. Thank God, for Butch Thompson's lawsuit, otherwise I would not know how bad "we" as citizens of Cobb County are getting swindled. I now realize it everytime I turn on a light or cook a Baigle.
This article fails to mention that the EMC members attending the annual meeting had a quorum and voted to have the board of Directors to resign immediately, It passed. No one on the stage said a word except their attorney. He said "That's a non-binding resolution, and we do not have to listen to you".
What is interesting is that, according to Board member Chadwick (AJC article), these motions by the EMC members are illegal and against the bylaws. What he fails to mention is that this board has broken bylaw after bylaw over the last 11 years starting with the illegal formation of for-profit Cobb Energy. Also, of course Mr. Weatherby would say "Brown is a visionary". Mr. Weatherby is a Cobb Energy shareholder.
Dwight Brown is a visionary. He envisions stealing money from us members.

They just don't think you can do anything about it. After all, they have filled their coffers with our money for years (Millions of dollars alone sits in Brown's account along with his wife). And like they said. The By laws that they set up, say your opinion does not count, so get a hotdog or some onion rings and sit down and shut up.
You could really tell the EMC Employee's from the EMC customers. (The EMC employees were told to not to wear their uniforms, so they would not stand out, but most of them could be easily identified by their EMC hat or Harley Davidson T-Shirt)The employee's stood in the back of the crowd because they got out a little to late on their lunch break, and every time David Brown spoke they tried to shout down the rest of us, but we had them out numbered 3 to 1. (Ordinarily this would not be the case). That's the definition of a meeting that gets taken over by a mob. Any meeting that the board or their employees do not control. Never mind the fact, we all were wearing green arm bands, which makes us EMC members.
Hallelujah and many thanks to members Butch Thompson, Bo Pounds and others for leading the charge for MEMBERS of Cobb EMC to have a voice and stop the outrageous, abusive and questionable leadership and financial exploitatation of our Co-OP by Dwight Brown and his lame Board of Directors ! Cobb Energy Spin-mistress is oh so wrong and out of touch when she said that "They hijacked it - This became their show" This is the first step in the MEMBERS having a voice, a vote and a co-op lead by principled, ethical and leadership of character. Go Boys Butch and Bo !
Maybe it is time to deregulate Electric Company's...give us a choice of providers!

The only lawyers I saw anywhere, were the ones sitting on the stage with the board of directors, and they were doing all the talking.
I wholeheartedly agree with all the recommended measures to clean up this disgraceful mess.
The entire Board should indeed resign. Brown has severely tarnished the reputation of the EMC and the Board members. The EMC employees don't deserve that, the Board members deserve worse. Whether what he did was legal or not is not the issue. With slick legal guidance he came up with a way to pocket millions which he bilked from the EMC members. The Board members allowed this to happen either thru their ignorance or their complicity in the scheme. The actions of Brown and the Board were unethical, clearly in conflict of interest, and immoral. Some may resign because they are unwanted by the membership. Others will stay because they have no morals or conscience. Either way, their reputations are forever trashed in Cobb and in Georgia thanks to slick Dwight. Absent of both morals and conscience, slippery Dwight will stay while he arrogantly grins and pockets millions. Exactly like Ken Lay and OJ, he will always proclaim his innocence.
Brown a visionary? Did Elliott Ness think Al Capone was a visionary? No, he knew the truth, Capone was a crook. No mediation! This needs to be resolved in an open forum in court and the sooner the better.
This forum was a lynch mob and had no place at this meeting for the specific reason that this matter is in the courts to be decided. The Plaintiffs wanted trial and verdict here yesterday and have impugned some very respectable and honest people as well as this well run organization. These board of directors are elected by the membership and the membership has the option to elect someone else if they see fit. Working up a crowd and crying foul without any evidence is representative of what happened here yesterday.
Someone should explain to us, the customers/members/owners, how the creation of Cobb Energy, would benefit the members. It appears only the board members and the executives of Cobb Energy will benefit. Sounds an lot like what has happened with those companies that were "DEREGULATED". It is also sad that we slect successful business people to be our directors and they find a way to rip us off. Mr Weatherby, whom I have known and respected for a long time, is right. Mr Brown is visionary, but for his own personal gain. The meeting yesterday shows that the present rulers of Cobb EMC have no intention of listening to the members, even though there was a quorum present.HOW AND WHY DO WE LET THIS HAPPEN?

NO mediation! These crimes against the members demand a court trial. Bring these crooks to justice. Make them repay all legal fees and other costs involved in protecting their sorry rearends. I am sure the GA State Prison has room for 12 more cons-to-be.
Seems that Cobb EMC could have at least set up fans so the audience would bake. The meeting was outdoors and it was hot! I guess the Directors didn't want us hanging around too long to make any more inquries into the theft of EMC assets. I hope this has been a wake up call to the members. The Directors and Dwight Brown have no intention of doing right by the members. They proved that yesterday with their arrogance and contempt they showed the members at the meeting. They don't seem to get it...they don't seem to realize that the public trusted them with the responsibility of looking after the member's assets. They don't seem to get it that we are pissed off because we believe that they have stolen from us. They made no attempts to dispute the fact that they have robbed us blind.
As one of the 199,000 who did not attend and who was not a participant in the plaintiff's "pep rally", I can tell you that most members I talk to are disgusted with the current board, officers and their cover up attorneys. Why not let the entire 200000 vote on those same motions and see what happens?
Does anyone know how I can get elected to board of directors of Cobb EMC and Cobb Energy?(I cannot determine where one starts and the other one ends) I just lost my job and I sure would like to eligible for a 6 figure pension only after working for a few years of doing nothing but nodding my head in agreeement after David Brown say's something to me.

Why do the EMC employees think that this is a personal attack on them? Dwight Brown must be able to snow anyone.
Weatherby also stated that Cobb EMC's wholesale Energy purchasing prices were lower now then when he left office in 93', yet our rates have continued to increase. We, as members, can not allow the Current board to move forward on any new risky financial decisions. There decision to enter into partnership with the Power4Georgians LLC (chaired by Dean Alford of Allied Energy Services--a Cobb Energy subsidairy), is yet another case of conflict of interest. The difference, this time, is that members have more then $500 million dollars at stake (25% of the 2 billion dollars proposed for the Plant Washington coal-fired power plant). The board must be stopped from making these decisions that serve there conflict of interest at even more expense from us, the rate-payers... Voting out, even 4, of the current board will not halt this risky business.

A "Lynch Mob" usually ends with someone hanging from a tall Ga. Pine. I saw none of that yesterday. What I saw yesterday. was a bunch of Cobb Citizens displaying their outrage at a group of directors hired to run a non-profit company, that ended up making millions of dollars (and continue to) off a for profit company (Cobb Energy) they set up financed by us, paid for by us and that should benefit us, All EMC members.
I especially liked the part where the lawyer told us David Brown would speak last and answer all of our questions.. After which David Brown spoke, did not take any questions, and then they closed the annual meeting and left.
Do you know why the same board keeps getting re-elected. It's because they have the entire list of all EMC members, they will not give it to anyone, they can do mailouts to everyone at the expense of the EMC, where if you or I want to run for the board. You or I would have to interview with them for prior approval, and to do a mailing to the entire EMC account (which I just told you cannot get). would cost you about $100,000 for a stamp and postcard. And in the end, they (current board) will just pull out a bunch of proxies from their employees and vote against you, that's why you cannot get these folks off the board. It would be easier for you to be elected the President of Venezulia or Cuba.

If I was David Brown and the rest of the board. I would be looking for a house down in Florida, Maybe near OJ Simpson. You see in Florida if you are sued and the other sides wins, they cannot seize your home or pension.
I am disappointted in the mob mentality that was displayed yesterday and continues throughout the comments following this acticle. The facts of the case were not shared yesterday instead we heard a incredible amount of mis-information, half truths and opinions. The court will determine what is true and what is not. I find it amazing that people assume or make up facts about the Board members which just are not true. Lies about their compensation, credibility, charater and motives. People using terms like criminal and swindlers when infact they don't even know these men and women. I am confident that in time and through the correct channels and venues all questions will be answered.
The board of directors, including David Brown, are so crooked, when they die they will not be buried, they will just be screwed into the ground.
To the EMC Board of Directors: Yesterday the membership voted to ask you to resign. Are you going to be like the Clayton County Board of Education and continue to sit on your throne and make bad decisions or are you going to DO THE RIGHT THING and resign? The membership has spoken. Also, to "Swindled no more" Mr. Weatherby said that our wholesale power costs were lower because of how Dwight Brown took on Oglethrope, but I guess you didn't hear that part...how conveinent! He also said our rates are lower now then when he left (15 years ago, 15 years of inflation and cost adjustments), but you didn't hear that either. And Mike...seriously, forget Mr. Brown's job I want yours...any job that allows me to post 8 comments per news article, is the job for me!
Do you see the fella in the photograh at the bottom left wearing the tie and suit? That's Johnny Woodward, He is attempting to get on the board of directors. Do you know when he decided to run for the board, he had to interview first with David Brown and the rest of the board before they would let him run. I guess they did this to see if he is worthy of joining them. Could you imagine this process being allowed in our current Federal, State and Local goverment, where you have to interview with the incumbent you are trying to beat before you are allowed to run against him?
I heard a rumor today that the EMC board is going to appeal Judge Schuster's decision to make the board elections more democratic. I told my friend that it was not true...at least to my knowledge. I don't think the Board would want to give the appearance that they want to disenfranchise members. They have enough problems with the membership already.
To Danny Fortney: You wouldn't just happen to be related to Al Fortney, a Cobb EMC board member, would you? The "bad guys" in this situation aren't the irate EMC members, but the board which brought this whole fiasco on themselves!
Setting up Cobb Energy was a sham to bilk money from the EMC without oversight. That money belongs to the members and should have been refunded - including the $20 million given to build that useless Cobb Energy Center. What is the Attorney General doing that he is too busy to start a grand jury investigation? This should not be in civil court - it belongs in criminal.
Dwight must go - he has used the EMC as his piggy bank - no other non profit director makes close to the salary he makes - and to say the membership cannot vote and pass resolutions.....you gotta be kidding!!!

Mr. Fortney, there is plenty of evidence if you would bother to check the recent documents submitted to the court by the plaintiff's attorneys. Nothing made up, just the facts and its not pretty. Go ahead and check it out (read it online or go to the Superior Court Clerk office). Or maybe, you are afraid of what they discovered?
Regarding employees of EMC/Energy attending Thursday's meeting - Employees who are also members of EMC are urged to attend, not to "rally" for the bosses but to exercise the same rights open to all members. They have the same right to attend, vote and voice opinions that you do. Where were all of you when the only people who could be bothered to take time from their day to attend the Annual Meeting were the employee-members who had to be on the EMC campus for work anyway? Maybe if there had been more interest from the general membership in the years past, instead of waiting until there is obviously a very serious problem, something could have been done by the membership to prevent some of this mess. The votes taken by the membership yesterday should have been taken years ago. My husband has worked for EMC/Energy for over 25 years. We are not members so he doesn't attend the meetings. Some non-member employees choose to attend because whatever comes out of the meetings will affect every employee's job and they feel they should be able to hear first-hand what they will have to live with.
If you know so much why cant you get the man's name correct?

if a married man and woman pay cobb emc they should have two votes not one and the reason is the same as dwight justified giving his wife stocks in cobb energy get out of town sir immediately... dwight you should of been first in flight........
Why haven't the members seen the Cobb Energy audited financial statements for the past year? Could it be that the auditors are attaching a "going concern" letter on those financials. All one needs to do to arrive at this conclusion is to look at the 2006 financials. How about a current ratio of $1 liquid assets to nearly $4 of current debt. How about $19 of debt for every $1 of equity. It's a no brainer and Brown and his Board did not want that on the table for discussion at his hi-jacked meeting.

The Cobb EMC meeting was impressive theater. Both sides of the management issue postured plenty. Cobb EMC is supposed to be member owned and member run for the benefit of the members. But now, our electricity bills go to pay a for profit company that is not regulated. The result is that Cobb EMC members pay more that 20% higher rates that Georgia Power customers. Furthermore, while Dwight Brown pays lip service to alternative energy, he has done nothing to incent businesses to invest in solar or any other clean technology. GPC pays 17.5 cents per KWh for clean energy, CobbEMC pays 6.5 cents. Cobb offers a token credit to homeowners for installing solar, but nothing to business. If Dwight Brown were serious about wanting more power supply from diverse sources, more green power, and cost reduction, he should tap into the capital available at Cobb businesses. Imagine how much power could be generated from the roofs of shopping centers and office buildings during the heat of the day when CobbEMC pays the most for peaking power!

Kudos for standing up for your daddy. However, your father is partly to blame for all of this mess.
At the least EMC members should be able to know the annual compensation, benefits and/or stock ownership of the five highest paid Officers or Directors of Cobb MC and or Cobb Energy. We collectively own the EMC and should be able to judge if the compensation of the Board and Executives of Cobb EMC and/or Cobb Energy is reasonabble, fair and in the best interest of the EMC owners.
It appears the board and Mr. Brown feel confident they can do whatever they please, and there is nothing their "customer" can do about it. Actually, there is--- if everyone refused to pay their bill until this bunch of crooks resigned, it might get their attention!! Even if everyone just waited to the last minute to pay, or paid 2 weeks late, it would cause major cash-flow problems for "Co-op".
Mike Jones claims to be fully informed and angry, yet can't even get the CEO's name right. You can also tell Mike is posting under different names in addition to posting under Mike Jones, b/c there are several entries that call the CEO by the wrong name. Clearly you don't know everything if you can't even get the guy's name right.

EMC member says - Mike Jones claims to be fully informed and angry, yet can't even get the CEO's name right. You can also tell Mike is posting under different names in addition to posting under Mike Jones, b/c there are several entries that call the CEO by the wrong name.
